Welcome to ZapX. These Terms of Service are a legal agreement between you and ZapX and govern your access to and use of the ZapX mobile application, website, marketplace, booking tools, event photo features, messaging tools, payment features, and related services.

By creating an account, browsing, booking, uploading content, accepting a booking, or otherwise using ZapX, you agree to these Terms, our Privacy Policy, and any other policies we make available through the platform.

1. Eligibility and Account Responsibilities

You must be at least 18 years old, or the age of legal majority where you live, to create an account or use ZapX. You are responsible for the accuracy of the information you provide, the security of your login credentials, and all activity that occurs under your account.

You may not create an account for someone else, impersonate another person, use false information, or use ZapX if we have previously suspended or removed your account.

2. ZapX Is a Marketplace Platform

ZapX provides technology that helps users find, communicate with, book, pay, and share event-related content with independent photographers, videographers, editors, and other creative service providers.

ZapX may review, verify, screen, or approve creators before allowing them to offer services through the platform. However, ZapX does not provide photography, videography, editing, event staffing, transportation, security, or venue services.

ZapX is not a party to the creative-services agreement between a user and a creator, does not supervise or control the manner or means of creator work, and does not guarantee the final quality, style, timing, safety, legality, suitability, availability, or outcome of services or deliverables provided by a creator.

3. Creators Are Independent Contractors

Creators are independent contractors and are not employees, agents, joint venturers, partners, franchisees, or representatives of ZapX. Creators decide whether to accept bookings and how to perform their services, subject to accepted booking terms and applicable law.

Each creator is responsible for licenses, permits, insurance, equipment, releases, consents, taxes, expenses, assistants, subcontractors, registrations, and legal compliance required for their services.

4. Bookings, Payments, Cancellations, and Fees

Bookings are created when a user requests services and a creator accepts the request through ZapX. Users agree to pay all amounts shown at checkout, including creator fees, platform fees, taxes, payment-processing fees, cancellation fees, and other disclosed charges.

Payments may be processed by third-party providers and may be subject to their separate terms. ZapX may charge, deduct, hold, release, refund, or reverse amounts as reasonably necessary to operate the platform, enforce these Terms, address disputes, prevent fraud, comply with law, or apply ZapX policies.

Unless required by law or expressly stated in applicable booking terms, fees paid through ZapX are not guaranteed to be refundable.

5. User Responsibilities

Users are responsible for choosing creators, reviewing creator profiles, communicating expectations, confirming event details, obtaining location permissions, providing accurate information, and ensuring requested services are lawful, safe, and appropriate.

Users may not request illegal, unsafe, harassing, discriminatory, invasive, exploitative, infringing, or deceptive services or content, avoid platform fees, misrepresent an event, upload unauthorized content, or interfere with another person’s rights.

6. Creator Responsibilities

Creators are responsible for their profiles, pricing, availability, portfolio materials, credentials, equipment, assistants, subcontractors, conduct, communications, deliverables, editing, storage, delivery timelines, and legal compliance.

Creators must have all rights and permissions necessary to provide services, capture or upload content, use third-party materials, and deliver photos, videos, or other work product through ZapX.

Creators are responsible for backing up their work and should not rely on ZapX as the only storage location for photos, videos, or deliverables.

7. Event Photo Feature and Uploaded Event Content

ZapX may allow users to select an event and find, view, access, download, or share photos, videos, audio, tags, galleries, albums, metadata, comments, links, and related event materials. At this time, only creators may upload event content unless ZapX enables additional upload functionality.

Consent to Event Photography and Use of Likeness

By attending an event associated with ZapX, booking a creator through ZapX, participating in an event for which content may be uploaded to ZapX, or accessing event content through the platform, you acknowledge and agree that photographs, videos, audio recordings, and other content depicting your image, likeness, voice, appearance, or activities may be captured, uploaded, stored, displayed, reproduced, transmitted, distributed, and made available through ZapX by creators and other authorized parties.

You consent to such capture, upload, storage, display, and use in connection with operating the platform and delivering event-related content to authorized users.

Grant of Rights

To the fullest extent permitted by law, you grant ZapX a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, distribute, and otherwise process photographs, videos, audio recordings, and related content that depict your image, likeness, voice, appearance, or activities solely for the purpose of operating, maintaining, improving, securing, and providing the ZapX platform and related services.

Retention of Event Content

You acknowledge and agree that ZapX may retain event-related content, including content depicting your image, likeness, or voice, for as long as reasonably necessary to operate the platform, comply with legal obligations, enforce its agreements, resolve disputes, protect users and creators, preserve business records, and carry out the purposes described in these Terms and ZapX’s Privacy Policy.

Waiver of Claims Relating to Authorized Use

To the fullest extent permitted by law, you waive and release any claim against ZapX arising solely from ZapX’s authorized storage, display, hosting, transmission, or use of event content as permitted by these Terms, except to the extent such waiver is prohibited by applicable law.

Creator and Event Organizer Consent Obligations

Creators, event organizers, and any other person uploading or providing event content to ZapX are solely responsible for providing any notices and obtaining any consents, permissions, releases, authorizations, venue approvals, parental or guardian consents, and other rights required under applicable law to capture, record, upload, store, display, distribute, share, or otherwise make event content available through ZapX.

This responsibility includes obtaining any permissions required from event participants, attendees, performers, speakers, venue owners, parents or guardians of minors, and any other individual whose image, likeness, voice, identity, personal information, or property may appear in event content.

ZapX may rely on creators, event organizers, and content providers to obtain all necessary permissions and has no obligation to independently verify that such permissions have been obtained. Creators and event organizers represent and warrant that all required consents, releases, notices, and permissions have been secured before uploading or providing event content.

Event Photography and Recording Notice

To the extent reasonably practical, creators and event organizers should provide notice to attendees that photography, videography, audio recording, and related content capture may occur during the event and that event content may be uploaded to, stored on, displayed through, and shared via ZapX.

Notice may be provided through registration materials, tickets, invitations, signage, venue postings, event communications, waivers, consent forms, or other reasonable means.

The absence of such notice shall not create liability for ZapX, and responsibility for providing legally required notices remains solely with the creator, event organizer, or other party conducting the event.

Children and Sensitive Content

No visual content that ZapX knows or reasonably identifies as depicting children will be displayed on a public event interface. ZapX may restrict, hide, remove, disable access to, or require additional permissions for event content involving children, minors, schools, youth organizations, family events, or similar settings.

Creators must not upload content involving children unless they have all required consents and the content is permitted by ZapX policies and applicable law.

Event Content Availability

ZapX does not guarantee that event content is complete, accurate, authorized, non-infringing, appropriate, secure, or available for any particular period. To the extent permitted by law, ZapX is not responsible for lost, deleted, corrupted, misdirected, mislabeled, delayed, unavailable, unauthorized, or improperly shared event content.

Creators should maintain independent backup copies and should not rely on ZapX as the sole storage location for event content.

8. Content Ownership and License

You retain ownership of content you upload or submit. By making content available through ZapX, you grant ZapX a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, transmit, process, modify for technical formatting, distribute, promote, analyze, and otherwise use that content as reasonably necessary to operate, improve, protect, market, and provide ZapX and related services.

You represent that your content does not violate law or third-party rights and that you have all required permissions. ZapX may remove or restrict content that may be unlawful, harmful, misleading, infringing, unauthorized, or inconsistent with these Terms or our policies.

9. Prohibited Conduct

You may not use ZapX to violate law, infringe intellectual-property or privacy rights, harass or threaten others, discriminate, upload harmful code, scrape platform data, interfere with security, create fake reviews, manipulate ratings, misrepresent services, bypass payment systems, solicit users off platform for ZapX-originated bookings, upload exploitative content, misuse images of minors, or engage in fraud, abuse, stalking, trafficking, or other unsafe conduct.

10. Reviews, Ratings, and Communications

Reviews and ratings must be honest, relevant, and based on real experiences. ZapX may remove or restrict reviews, ratings, messages, or feedback that are false, misleading, abusive, retaliatory, discriminatory, defamatory, promotional, irrelevant, or inconsistent with platform policies.

11. Safety, Events, Venues, and Third Parties

Users and creators are responsible for their own safety, conduct, equipment, transportation, locations, event access, venue rules, permits, and interactions with each other and third parties. ZapX does not control events, venues, guests, weather, lighting, security, access restrictions, crowd behavior, or equipment conditions.

12. Third-Party Services and Payment Providers

ZapX may rely on third-party services for payments, identity tools, cloud hosting, maps, messaging, analytics, storage, authentication, and other functions. ZapX is not responsible for third-party services, websites, policies, outages, fees, errors, security incidents, or decisions, except where liability cannot be excluded by law.

13. Disclaimer of Warranties

ZapX is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, ZapX disclaims express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, safety, and uninterrupted or error-free operation.

14. Limitation of Liability

To the fullest extent permitted by law, ZapX and its owners, officers, directors, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, lost business, loss of goodwill, loss of data, lost content, personal injury, property damage, emotional distress, or related losses arising from your use of ZapX.

To the fullest extent permitted by law, ZapX’s total liability for any claim will not exceed the greater of the platform fees you paid for the booking giving rise to the claim or one hundred dollars.

15. User Indemnification of ZapX

If you use ZapX as a user, client, organizer, attendee, viewer, downloader, uploader, or purchaser, you agree to defend, indemnify, and hold harmless ZapX and its related parties from claims, losses, liabilities, damages, judgments, settlements, costs, and expenses arising from your use of ZapX, your booking, event, content, event-photo activity, legal violations, rights violations, failure to obtain permissions, or wrongful conduct.

16. Creator Indemnification of ZapX

Creators agree to defend, indemnify, and hold harmless ZapX and its related parties from claims, losses, liabilities, damages, judgments, settlements, costs, and expenses arising from creator services, listings, bookings, conduct, equipment, assistants, subcontractors, captured or uploaded content, tax or classification obligations, legal violations, rights violations, failure to obtain permissions, releases, insurance, licenses, or permits, or wrongful conduct.

17. Account Suspension, Removal, and Platform Enforcement

ZapX may suspend, restrict, deactivate, remove, investigate, preserve, report, or refuse access to accounts, listings, bookings, payments, content, event features, or platform functions when reasonably necessary to protect users, creators, ZapX, third parties, minors, or the public; enforce these Terms; prevent fraud or abuse; respond to legal obligations; or investigate unsafe, illegal, suspicious, or unauthorized activity.

18. Changes to ZapX or These Terms

ZapX may update, suspend, discontinue, or change any part of the platform or these Terms. If we make material changes, we may provide notice through the app, website, email, or another reasonable method. Continued use after updated Terms take effect means you accept them.

19. Disputes Between Users and Creators

Users and creators are responsible for resolving disputes with each other in good faith. ZapX may choose to facilitate communications, collect information, apply policies, issue credits, process refunds, restrict accounts, or take other action, but is not required to resolve disputes and does not assume responsibility for the conduct or obligations of users, creators, venues, organizers, attendees, or third parties.

20. Dispute Resolution, Governing Law, and Class Action Waiver

To the fullest extent permitted by law, disputes between you and ZapX will be handled individually and not as a class, collective, consolidated, or representative action. These Terms and disputes related to ZapX will be governed by the laws identified in ZapX’s applicable company records or policies, without regard to conflict-of-law rules.

21. General Terms

These Terms, together with the Privacy Policy and referenced policies, form the agreement between you and ZapX. If a provision is unenforceable, the remainder remains effective. You may not assign your rights or obligations without ZapX’s consent. ZapX may assign these Terms in connection with a merger, financing, acquisition, reorganization, sale of assets, or by operation of law.
